James R. Hagerty, co-founder of the Firm, leads a diverse corporate, tax, securities and business law practice, with special emphasis on international matters. He advises, represents and in many cases serves as general counsel to multi-national corporate groups, closely held private corporations, international organizations, non-profit associations, and high net worth families and individuals on a wide range of transactional and general business issues.

These matters include but are not limited to corporate formations, contract negotiations, agency agreements, private equity, real estate matters, mergers and acquisitions, due diligence, tax (including state, federal and international tax issues), corporate finance, reorganizations, venture capital and regulatory compliance. He also has extensive experience assisting clients with identifying and resolving issues relating to securities, financial and tax fraud.

International Practice

Jim works closely with his clients to plan proposed transactions and resolve day-to-day international corporate, securities, tax, transactional and general business issues on matters such as joint venture agreements, corporate acquisitions, capital markets matters, transfer pricing, agency agreements, FCPA issues, regulatory compliance, licensing, VAT, international treaties, and FIRPTA issues.

In addition to advising and representing U.S.-owned companies and businesses in planning international transactions, Jim also has considerable experience with the representation of foreign interests in connection with their investment in U.S. businesses and real estate. He has represented clients based in Bahrain, Canada, Peoples Republic of China, Denmark, Hong Kong, Italy, Japan, Saudi Arabia, the United Arab Emirates and the United Kingdom in connection with their U.S. investments, both active and passive.

Tax Planning and Controversy

Jim works with his clients on tax planning for proposed transactions and has advised and represented clients at all stages of tax controversies from initial contact with the auditor to appeals from Tax Court decisions. The issues in these matters have included, among others, chapter 482 matters, consolidated return issues, partnership issues, inventory issues, hedging, captive insurance, unitary taxation, foreign tax credits and withholding taxes. In addition, he helps clients resolve issues involving abusive tax shelters, and both civil and criminal tax fraud.

Corporate/Transactional/Securities Law

The Firm’s corporate, securities and transactional lawyers, led by Jim, have extensive experience in preparing public and private securities offerings and in negotiating the sale, merger and acquisition of both public and private companies. Jim has negotiated and prepared numerous employment agreements, manufacturing, distribution and agency agreements, commercial loans and international financing contracts. Finally, he has years of experience with advising and representing clients with respect to securities and investment fraud issues.
